Laegis by TWM is intended to give you many of the benefits of that relationship without the cost or commitment of employing a permanent in-house General Counsel. Rather than starting again each time a legal issue arises, you have a consistent route into TWM and access to lawyers across the firm, subject to the scope of your chosen service.

Commercial contracts

Drafting, reviewing and negotiating commercial agreements, including terms and conditions, supply and distribution agreements, manufacturing agreements, franchising and licensing arrangements, privacy policies and website terms.

Corporate and governance matters

Supporting your business with corporate governance documents, shareholder and partnership arrangements, board minutes and resolutions, investment documentation, transaction planning and heads of terms.

Employment

Providing access to employment law support for day-to-day workforce and management matters, subject to the scope of the service agreed with you.

Commercial disputes

Helping you obtain early advice on developing commercial disputes or outstanding debts and, where appropriate, allocating the matter to a specialist dispute resolution lawyer.

Providing initial advice on relevant commercial property matters, including property owned, occupied or leased by the business, where included within the selected service.

Depending on the service selected, support may include registered office services, maintenance of statutory registers and annual Companies House filings.

Strategic projects and risk management

Helping you identify legal priorities, manage risk and bring legal input into growth projects and important commercial decisions at an earlier stage. Some specialist or substantial matters will fall outside the service or require a separate scope and cost arrangement. We will explain this to you before additional work is undertaken.

Yes. The service includes a designated Partner who acts as the main point of contact for your enquiries. If that Partner needs to be replaced temporarily or permanently, TWM will notify you and introduce you to their replacement.

The areas available will depend on the service you select. The draft service structure includes corporate, commercial, employment, dispute resolution, commercial property and company secretarial support across different levels of service.

We will explain whether the matter is included and, where it is not, discuss whether we can assist under a separate scope and cost arrangement. Your approval will be obtained before additional work proceeds.

Laegis by TWM covers many of the legal issues businesses encounter on a day-to-day basis, but not every legal matter falls within the scope of the service.

The areas covered depend on your chosen package and may include corporate, commercial, employment, dispute resolution, commercial property and company secretarial support. Certain specialist, contentious or transaction-specific matters are excluded and may be quoted for separately.

If you are unsure whether a matter is covered, your designated Laegis by TWM Partner will review the enquiry and confirm the most appropriate way to support you before any work is undertaken.

If your annual allowance is insufficient, you will have the option to purchase additional hours. The applicable hourly rate will be confirmed at the time.

No. The service operates on a "use it within the subscription year" basis, so any unused hours cannot be carried forward to a future subscription period. Regular usage statements help you monitor your remaining allowance throughout the year.
