A company secretary is usually appointed to support the directors whilst easing their administrative duties slightly. The company secretary will assist with the annual Companies House filings, maintenance of the statutory registers (register of members, register of directors, register of shareholdings etc.), general Companies House filings, assisting with the organising of board/general meetings and, although not a service we provide, a company secretary could also assist with attending meetings to take and create minutes of the meeting.
All limited companies incorporated in the UK must file a confirmation statement and accounts annually. The ‘made up to date’ and ‘deadline date’ is unique to each company and is publicly available under the company’s overview on the Companies House website.
Although the company secretary can assist with completing the annual filings, it is the responsibility of the directors to ensure the deadlines are met. In relation to the annual account, Companies House will apply an automatic penalty for the late filings of accounts, which will increase with the length of the period over the deadline date. Â However, there is currently no financial penalty for the late filing of a confirmation statement. Though, with both the accounts and the confirmation statement, if the company continues to fail to file, Companies House will begin the compulsory strike off procedure.
